Partner Program

Partner Program terms (draft)

Status of These Terms — Draft

This is an editable draft that describes the intended structure of the Partner Program. It is not final, is not legal advice, and does not by itself create an agreement. Before the program goes live, these terms must be reviewed and finalised by a qualified professional — in particular the provisions covering US sales, telemarketing, privacy and independent-contractor classification. The binding terms are the signed Partner Program Agreement issued to each partner.

Independent Contractor Status

[REVIEW REQUIRED] Partners are independent contractors, not employees, agents or partners of Wealth City Agency. Partners set their own hours and methods, use their own equipment, and are not entitled to employment benefits. Partners are responsible for their own taxes and, where applicable, their own business registration, licensing and insurance. Partner conduct must not create the appearance of an employment relationship.

Commission Calculations & Eligibility

A Sales Representative earns a 10% one-time commission for each new client they bring, calculated on the value of that client's first engagement and paid once. Referral Partner commission terms are provided upon approval. The applicable structure is confirmed in the written agreement. No commission is earned, vested or payable until each agreed eligibility condition is satisfied in full — typically including that a referred business has become a paying client under a signed agreement and that any waiting or refund window has passed.

Attribution Rules

Attribution is first-touch: the first valid partner code recorded for a prospective client is the code credited, unless otherwise agreed in writing. Referrals are recognised through the partner's unique code and link. Duplicate, self-referred, fraudulent or manipulated referrals are not counted. A partner cannot alter their own attribution or commission records.

Payment Timing & Minimum Payout

Payable commissions are paid on the schedule stated in the partner's written agreement. Where a minimum payout threshold applies, balances below the threshold carry forward until the threshold is reached. Payment method and any processing details are confirmed at approval.

Refunds, Cancellations, Chargebacks & Disputes

Where a client cancels, receives a refund or issues a chargeback, the associated commission is reversed (clawed back), including against future balances where necessary. A commission is not payable while a related payment is disputed. Disputes about commission are reviewed against the written agreement before any payout is released.

Partner Conduct & Truthful Marketing

[REVIEW REQUIRED] Partners must represent Wealth City Agency honestly and only within the scope of the agreed services. Partners may not make guarantees, promises or claims not approved in writing, may not use misleading or unlawful marketing (including unsolicited telemarketing, robocalls or messages that breach applicable US federal or state law such as the TCPA, CAN-SPAM and state equivalents), and may not use the Wealth City Agency name or brand except as permitted.

Confidentiality & Data Protection

Partners must keep confidential any non-public information shared during the partnership and must handle any personal data lawfully, only for the purpose of the program, and in line with applicable privacy law and our Privacy Policy. Partners may not build, resell or share databases of prospects or clients outside the program.

Termination

Either party may terminate the partnership as set out in the written agreement. On termination, attribution and any eligibility windows that began before termination will be honoured according to the agreement; no new referrals are credited after termination. Provisions that by their nature should survive — including confidentiality, data protection and the independent-contractor clause — continue in effect.
